涉誤導投資人 臉書與大摩面臨IPO訴訟

美國聯邦法官表示，臉書在首次公開發行股票（IPO）前，就公司財務健全程度提供錯誤訊息，投資人有權對此向執行長查克柏格及多家IPO承銷商提起訴訟。

美國曼哈頓地區地方法院法官斯威特（Robert Sweet）28 日公布決議，表示投資人有權追究臉書未在2012年5月IPO前，揭露行動用戶及產品決策將如何衝擊未來營收的內部預測。

斯威特在83頁的決議書中說：「該公司事前提出的風險警告，錯誤描述營收下滑為可能發生的事，但事實上營收減少已成定局。」

臉書在聲明中說：「我們持續相信這項指控缺乏法律依據，並期望事情最終將真相大白。」

這起訴訟有40幾個被告，其中包括臉書營運長桑柏格、IPO主要承銷商摩根士丹利、高盛及摩根大通。
